The Group Transaction team is a part of Group Investments and sits at the core of B2 Impact’s growth strategy. The team leads and supports the legal execution of complex, cross-border transactions that directly shape our footprint, our investment activities and our strategic direction as a Group.
What you will do
As a Senior Lawyer, you will play a decisive role in enabling the Group to carry out strategic M&A, divestments, and NPL portfolio transactions with clarity, precision and confidence. You will be a trusted advisor to senior management and contribute to decisions that have a tangible impact on the future of the entire Group.

Main responsibilities include:
Leading, coordinating, and managing legal processes across investment-related transactions (NPL acquisitions, mergers & acquisitions, divestments and other various transactions)
Drafting, reviewing, and negotiating transaction documents (e.g. sale and purchase agreements, loan agreements, shareholder agreements, joint venture documents)
Managing due diligence processes, including identifying legal risks and advising on risk mitigation strategies
Preparing structured legal reports and other legal documents
Working closely with internal stakeholders (e.g., compliance, risk, finance) and external advisors (e.g., accountants, consultants) to facilitate smooth transaction processes
Supporting the Group Legal Head of Transactions, the CIO and the Group Investment Team and act as a trusted advisor to senior management on legal aspects of strategic initiatives
Monitoring legal, regulatory and market developments in Luxembourg and EU from a legal point of view
Ensuring procedures adhere to regulations, legislation and Group policies.
Your profile
Education and experience:
Master’s degree in law from an accredited university
Proven experience from a reputable law firm
Solid background in corporate law (contract law, company law, securities law, bankruptcy, etc.)
5-10 years of relevant work experience, where experience in cross-border transactions and/or M&A transactions and/or NPL transactions is a strong advantage
Skills and capabilities:
Fluent in business English, additionally French or Spanish is a strong plus
Ability to collaborate effectively in cross-border teams
Excellent negotiation and drafting skills
Ability to understand and monitor legal processes
Excellent problem-solving and communication skills
Excellent written, oral and presentation skills
Location and travel
The primary location for this role is at our office in Luxembourg. For qualified candidates, we may consider placement in one of our other European offices.
The role will include approximately 10% travel to other locations across Europe.
